OMARI TEXTILES — AFFILIATE PROGRAMME AGREEMENT Issued by Omari Textiles | Date of Registration: As recorded on submission ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ IMPORTANT NOTICE: PLEASE READ THIS AGREEMENT IN FULL BEFORE PROCEEDING. This document constitutes a legally binding agreement between you ("the Affiliate") and Omari Textiles ("the Company") upon your acceptance and registration into the Omari Textiles Affiliate Programme. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 1. NATURE OF THIS AGREEMENT — INDEPENDENT INDIVIDUAL ARRANGEMENT This agreement does NOT constitute a contract of employment, service, apprenticeship, or any arrangement that creates an employer-employee relationship between the Affiliate and Omari Textiles. The Affiliate is a wholly independent individual acting entirely in their own personal capacity. Omari Textiles does not direct, supervise, instruct, or control the Affiliate's daily activities in any manner. No employment, labour, or service relationship of any kind is created by this agreement or by participation in the programme. The Affiliate has no entitlement to wages, salary, holiday pay, sick pay, pension, or any other benefit associated with employment. The Affiliate is solely responsible for their own tax obligations and compliance with all applicable laws. 2. PROGRAMME OVERVIEW Omari Textiles operates an open Affiliate Programme that enables any interested individual ("the Affiliate") to earn commission by facilitating the sale of Omari Textiles fabric products at the official listed selling prices. Participation in this programme is entirely voluntary and open to all interested individuals. 3. SALE CONFIRMATION POLICY - A sale is considered confirmed only after full payment has been received by Omari Textiles AND a valid receipt or proof of payment has been tendered by the Affiliate or the customer to Omari Textiles. - Omari Textiles reserves the right to decline to confirm a sale where proof of payment is not provided. - Commission is only payable on duly confirmed sales. 4. MARKETING & PROMOTION — NO OBLIGATION The Affiliate is under NO obligation to sell, market, or promote Omari Textiles or its products. Participation is entirely voluntary. The Affiliate may choose to promote Omari Textiles by name or share information about products entirely at their own discretion. Omari Textiles does not mandate any specific marketing activity whatsoever. 5. COMMISSION STRUCTURE - Commission is calculated as 50% of the profit margin on each confirmed unit sold. - Profit is defined as: Selling Price minus Cost Price per unit. - Commissions are paid in Nigerian Naira (₦) directly to the Affiliate's registered bank account. - Commission is only payable on sales confirmed in accordance with Clause 3 above. 6. PRICING POLICY - Affiliates who choose to facilitate sales must do so at the OFFICIAL SELLING PRICE listed in the Omari Textiles product price sheet. - Selling below or above the listed price without written authorisation from Omari Textiles is strictly prohibited. 7. PAYMENT TERMS - Confirmed commissions are paid within one (1) to three (3) business days of sale confirmation. - Payment is made EXCLUSIVELY to the bank account provided by the Affiliate during registration. Omari Textiles will not make payment to any account other than the one registered by the Affiliate. - The Affiliate is solely responsible for ensuring their banking details are accurate and up to date at all times. - Omari Textiles bears no responsibility for failed or misdirected payments resulting from incorrect banking details provided by the Affiliate. 8. LIABILITY DISCLAIMER — OMARI TEXTILES IS NOT LIABLE FOR AFFILIATE LOSSES OMARI TEXTILES SHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR ANY LOSSES, DAMAGES, COSTS, OR EXPENSES OF ANY NATURE WHATSOEVER INCURRED BY THE AFFILIATE IN CONNECTION WITH THEIR PARTICIPATION IN THIS PROGRAMME. This includes, but is not limited to, losses arising from unsold stock the Affiliate may have personally acquired, transportation costs, personal marketing expenditures, or any other costs incurred independently by the Affiliate. 9. NO REFUND POLICY Omari Textiles operates a strict NO REFUND policy in the context of this Affiliate Programme. No refunds of any kind will be made to any Affiliate under any circumstances. This policy exists to protect the integrity of the Omari Textiles brand and its business operations. This clause concerns the affiliate relationship only. Purchases of fabric by customers are governed by the Omari Textiles Refund & Returns Policy, which is available on this portal at /refunds and forms part of this agreement. Nothing in this clause removes any right a customer or an Affiliate has under Nigerian consumer law. 10. AFFILIATE CONDUCT - The Affiliate must represent Omari Textiles and its products honestly if they choose to do so. - The Affiliate must not make false or misleading claims about product quality, pricing, or availability. - The Affiliate must not engage in any fraudulent behaviour or conduct that could harm the reputation of Omari Textiles. 11. IDENTITY & UNIQUE AFFILIATE ID Upon successful registration, the Affiliate is assigned a unique Affiliate ID (e.g. OMA-0001). This ID is used to track confirmed sales and commission payments. The Affiliate must quote this ID in all sales-related communications with Omari Textiles. 12. TERMINATION A. By Omari Textiles: Omari Textiles reserves the right to suspend or permanently terminate an Affiliate's participation at any time for breach of this agreement, fraudulent behaviour, or conduct deemed harmful to the Omari Textiles brand. B. By the Affiliate: The Affiliate has the right to terminate their participation in this programme at any time by giving reasonable written notice to Omari Textiles. Upon termination, all commissions that have been duly confirmed and remain outstanding at the time of termination will be calculated and paid out to the Affiliate within the standard payment period of one (1) to three (3) business days. No commission will be forfeited solely on account of the Affiliate choosing to exit the programme. 13. CUSTOMER DATA — PRIVACY AND CONFIDENTIALITY - In the course of facilitating a sale you will collect personal information about a customer, such as their name, phone number, email address, delivery address and photographs of proof of payment. - You collect that information on behalf of Omari Textiles and only for the purpose of completing that sale and communicating with that customer about it. - You must keep it confidential, store it securely, and must not use it for your own marketing, sell it, share it with anyone else, or add it to any mailing list without the customer's own consent. - You must share it with Omari Textiles only to the extent needed to confirm the sale, arrange delivery or record the payment. - If a customer asks you to delete their information, pass the request to Omari Textiles and delete your own copy unless you are required by law to keep it. - Personal information must be handled in accordance with the Nigeria Data Protection Act 2023 and the Omari Textiles Privacy Policy. A breach of this clause is a breach of this agreement. 14. GOVERNING LAW This agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this agreement shall be subject to the jurisdiction of Nigerian courts. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ BY TICKING THE ACCEPTANCE CHECKBOX AND SUBMITTING YOUR REGISTRATION, YOU CONFIRMED THAT: - You have read and fully understood this agreement. - You accept all terms and conditions stated herein. - You understand this arrangement does NOT create any employment or service relationship. - You understand Omari Textiles bears no liability for any losses you may incur. - You understand the NO REFUND policy applies without exception. - You understand that commissions are paid within 1–3 business days of confirmed sales only. - You understand you may exit this programme at any time upon reasonable written notice, with all outstanding confirmed commissions paid out to you.
